Welcome to kaizen.sa (the \u201cSite\u201d), operated by Kaizen Consulting (\u201cKaizen,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d). By accessing or using the Site, you agree to these Terms of Use (\u201cTerms\u201d). If you do not agree, please do not use the Site.<\/p>\n

These Terms are in addition to any signed contract you (or your employer) may have with Kaizen. If a conflict exists, the signed contract controls for the conflicting subject matter.<\/p>\n<\/div><\/div><\/div>

2. Eligibility & accounts<\/h5>

You must be at least 18 years old to use the Site. Certain areas may require an account. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at info@kaizen.sa if you suspect unauthorized use.<\/p>\n<\/div><\/div>

3. Use of the Site & Content; Intellectual Property<\/h5>

All materials on the Site\u2014including text, data, graphics, images, logos, videos, audio clips, downloads, and other works (collectively, the \u201cContent\u201d)\u2014are owned by Kaizen, our licensors or partners and are protected by applicable intellectual property laws.<\/p>\n

Permitted use<\/strong>. You may access the Site and view Content for your or your organization\u2019s internal information purposes only.<\/p>\n

Prohibited uses<\/strong>. Without our prior written permission, you may not:<\/p>\n

    • copy, reproduce, modify, adapt, translate, create derivative works of, publicly display, perform, distribute, transmit, or exploit the Content;<\/li>\n
    • use the Content to promote or market products or services;<\/li>\n

    • use automated tools (e.g., bots, scrapers) to access the Site except as permitted by applicable law and our robots.txt;<\/li>\n

      No rights are transferred to you by use of the Site; all rights not expressly granted are reserved by Kaizen.<\/p>\n<\/div><\/div>

      4. Restricted areas<\/h5>

      Some areas are restricted to authorized users (e.g., clients with credentials). You may not access these areas without authorization, and you may not share your access with anyone else. We may monitor usage and suspend or revoke access if we detect suspicious or unauthorized activity.<\/p>\n<\/div><\/div>

      5. Interactive services & user content<\/h5>

      The Site may allow you to post, upload, or submit content (\u201cUser Content\u201d). You are solely responsible for your User Content and you warrant that you own it or have the necessary rights to share it, and that it is lawful, accurate, and does not infringe rights of others.<\/p>\n

      You agree not to submit illegal, obscene, threatening, harassing, defamatory, invasive, or infringing content, nor any content containing sensitive identifiers (e.g., national ID numbers, full payment card data) or protected health information.<\/p>\n

      By submitting User Content, you grant Kaizen a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, display, perform, reproduce, and distribute such User Content for the purposes of operating, improving, and promoting the Site and our services.<\/p>\n

      We may, but have no obligation to, monitor, edit, or remove User Content at our discretion.<\/p>\n<\/div><\/div>

      6. Generative AI and automated tools<\/h5>

      Except where expressly permitted in writing by Kaizen, you may not upload, distribute, or share Content from restricted\/client areas of the Site with external generative AI or machine-learning systems, nor allow such systems to crawl or train on that Content. Public pages of the Site may be indexed according to standard web protocols.<\/p>\n<\/div><\/div>

      7. Client services agreement & licensed materials<\/h5>

      If your organization has a services agreement with Kaizen, your access to licensed research, deliverables, portals, or learning materials is governed by that agreement. You must comply with those contract terms in addition to these Terms.<\/p>\n<\/div><\/div>

      8. Third-party links & embedded content<\/h5>

      The Site may include links to third-party websites or embedded services. We do not endorse or control these sites and are not responsible for their content or privacy practices. Review their terms and policies before use.<\/p>\n<\/div><\/div>

      9. Privacy & PDPL<\/h5>

      Your use of the Site is subject to our Privacy Policy (available on the Site), which explains how we collect, use, disclose, and protect personal data in line with the Saudi Personal Data Protection Law (PDPL) and, where applicable, other laws. By using the Site, you acknowledge our privacy practices as described there.<\/p>\n<\/div><\/div>

      10. Accuracy of information<\/h5>

      We strive to provide reliable information; however, Content may include analyses, opinions, or forward-looking statements that are subject to change. You are responsible for evaluating the suitability of any Content for your intended use. Your sole remedy for dissatisfaction with the Site or Content is to stop using the Site.<\/p>\n<\/div><\/div>

      11. Intellectual property complaints<\/h5>

      If you believe material on the Site infringes your copyright or other IP rights, please email info@kaizen.sa with:<\/p>\n

          We may remove or disable access to the material and contact the user who posted it.<\/p>\n<\/div><\/div>

          12. Mobile applications<\/h5>

          If we offer a mobile app, Kaizen grants you a non-exclusive, non-transferable, revocable license to install and use the app on your personal device for permitted purposes. You may not reverse engineer, decompile, or create derivative works of the app except as permitted by applicable law.<\/p>\n<\/div><\/div>

          13. Suspension & termination<\/h5>

          We may suspend or terminate access to the Site (or parts of it) at any time, with or without notice, including where we reasonably believe you have violated these Terms or applicable law. Upon termination, rights granted to you under these Terms will cease immediately.<\/p>\n<\/div><\/div>

          14. Governing law & jurisdiction<\/h5>

          These Terms are governed by the laws of the Kingdom of Saudi Arabia<\/strong>. You agree to the exclusive jurisdiction of the competent courts in Riyadh, KSA<\/strong> to resolve any dispute arising from or relating to these Terms or the Site, without prejudice to any mandatory consumer protection rules.<\/p>\n<\/div><\/div>

          15. General<\/h5>

            • Entire agreement. These Terms, together with any applicable contract and our Privacy Policy, form the entire agreement regarding your Site use.<\/li>\n
            • Severability. If any provision is held invalid, the remaining provisions will remain in effect.<\/li>\n

              The site and all content are provided \u201cas is\u201d and \u201cas available.\u201d To the maximum extent permitted by law, Kaizen disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the site will be error-free, secure, or uninterrupted, or that defects will be corrected.<\/p>\n<\/div><\/div>
